CityViz Platform Terms of Use

These Terms of Use (the “Terms”) govern access to and use of the CityViz data platform provided by Ruby Industries Inc., operating as CityViz (“CityViz”, “we”, “us”, or “our”). The CityViz platform includes client-specific data portals, public websites, administrative interfaces, embedded widgets, Report Studio, maps, dashboards, directories, forms, downloadable files, generated reports, and related services (collectively, the “Platform”).

CityViz provides the Platform to municipalities, economic development organizations, regional partnerships, and other organizations (each a “Client Organization”). The Client Organization identified on a particular CityViz instance may supply data, configure features, control access, and establish additional requirements for that instance.

These Terms are an agreement between CityViz and the individual person who accesses or uses the Platform (“you” or a “User”). They govern your access, conduct, submissions, and use of Platform Content and outputs. They do not replace or amend the subscription, licence, implementation, support, data, or other commercial agreement between CityViz and a Client Organization.

Please read these Terms before using the Platform. By accessing or using the Platform, you agree to these Terms in your individual capacity. If you do not agree, do not use the Platform.


1. Users, Client Organizations, and Other Agreements

These Terms may apply to:

A person may fall within more than one category. All are referred to as Users in these Terms.

A Client Organization’s subscription, licence, implementation, services, data-processing, or other written agreement with CityViz (a “Client Agreement”) governs the relationship between CityViz and that Client Organization. It may address fees, implementation, hosting, support, service levels, Client Organization data, confidentiality, security commitments, data export, term, termination, indemnities, and liability between those parties.

These Terms do not replace, amend, or supplement a Client Agreement. Unless a Client Agreement expressly states otherwise, an individual User:

A Client Organization may establish additional lawful policies, permissions, content restrictions, records-management requirements, or acceptable-use rules for its instance. It may also direct CityViz to manage access or Content in accordance with the Client Agreement. Organizational Users must comply with applicable rules communicated by the Client Organization, but accepting these Terms does not authorize a User to enter into or amend a contract for that organization.

Additional terms may apply to particular datasets, files, reports, features, forms, programs, or third-party services. For matters concerning your access and use, specific terms, licences, collection notices, and restrictions displayed with a particular feature or item of Content apply together with these Terms and prevail to the extent of a direct conflict. For matters between CityViz and a Client Organization, the applicable Client Agreement governs.

The Privacy Policy explains how personal information is handled through the Platform. A separate privacy policy or collection notice may apply to a specific form or program, including the Supply Chain Analysis intake form.


2. Eligibility and Authority

You must have the legal capacity to accept these Terms. The Platform is intended primarily for adults, businesses, public-sector organizations, professionals, researchers, and members of the public seeking economic, demographic, community, business, or investment information.

If you access the Platform through a Client Organization, you represent only that you are authorized to use the account, role, information, or feature made available to you and that you will use it for authorized purposes. You do not represent that you have authority to bind the Client Organization to these Terms or to any commercial obligation.

If you are not authorized to use an organizational account, restricted feature, non-public information, or administrative function, you must not access or use it. You may still use publicly available Platform features in your individual capacity, subject to these Terms.


3. Accounts and Authorized Access

Some Platform features require an account, invitation, authentication, or authorization from a Client Organization. Access provided through a Client Organization is a permission to use specified Platform features; it does not transfer the Client Organization’s contractual rights or make you a party to its Client Agreement.

You may not share an individual account unless the applicable Client Organization or CityViz expressly permits shared access. A Client Organization may manage, suspend, or revoke access to its instance. CityViz may also restrict or suspend access where reasonably necessary to protect the Platform, users, data, or third parties, or to investigate suspected misuse.


4. Platform Content and Data Sources

The Platform may display or provide data, text, tables, charts, graphics, maps, photographs, listings, files, documents, analyses, and other material (collectively, “Content”).

Organizations that supply Content are referred to in these Terms as “Content Sources”.

Content may be subject to copyright, database rights, open-government licences, commercial licences, attribution requirements, confidentiality restrictions, or other terms imposed by a Content Source. Those source-specific terms continue to apply. Availability through CityViz does not mean that every item may be copied, republished, sold, or used without restriction.

Where practical, CityViz identifies the source of datasets or other Content. You are responsible for reviewing and complying with any source attribution, licence, and permitted-use requirements displayed on the Platform, in a download, or on the Content Source’s website.


5. Limited Permission to Use the Platform

Subject to these Terms and any applicable source-specific restrictions, CityViz grants you a limited, non-exclusive, non-transferable, and revocable permission to access and use the Platform for lawful purposes, including personal, internal business, research, planning, community development, economic development, and public-information purposes.

You may download, print, quote, or share Content or generated outputs only where the Platform enables that activity or the applicable licence permits it. When reusing Content, you must:

No ownership of the Platform, its software, or CityViz-owned Content is transferred to you.


6. Generated Reports, Downloads, and Analytical Outputs

The Platform may allow you to generate or download reports, presentations, spreadsheets, maps, charts, tables, data extracts, opportunity briefs, or other outputs (“Generated Outputs”).

Generated Outputs may combine Content from multiple sources with user-selected filters, parameters, calculations, classifications, or automated formatting. You are responsible for:

A Generated Output does not become authoritative merely because it was produced through the Platform. CityViz does not certify that a Generated Output is suitable for a particular decision, transaction, regulatory filing, procurement process, funding application, or legal purpose.


7. Maps, Locations, Boundaries, and Listings

Maps, geocoded locations, property boundaries, service areas, travel-time areas, zoning or land-use layers, infrastructure locations, and similar geographic information may be generalized, approximate, incomplete, delayed, or derived from third-party sources.

Unless expressly stated otherwise, Platform maps and geographic Content are not:

Business directories, property listings, supplier profiles, investment opportunities, and other listings may be submitted or maintained by third parties. Their presence on the Platform does not constitute an endorsement, certification, warranty, or guarantee by CityViz or the Client Organization. Users should independently verify material information before contacting a party, entering a transaction, or making a decision.


8. Informational Use; No Professional Advice

The Platform and its Content are provided for general informational, analytical, planning, and economic-development purposes.

They do not constitute legal, financial, accounting, tax, investment, engineering, environmental, real-estate, planning, medical, employment, procurement, or other regulated professional advice. They also do not constitute an offer, recommendation, representation, or guarantee concerning a property, business, supplier, investment, grant, market, workforce, or economic outcome.

You remain responsible for your decisions and should obtain current source data and appropriate professional advice where the consequences of an error could be significant.


9. User-Submitted Information and Content

The Platform may allow you to submit data, text, documents, files, images, business information, form responses, corrections, feedback, or other material (“User Content”).

You retain any rights you hold in your User Content. By submitting User Content, you grant CityViz and the applicable Client Organization a non-exclusive, worldwide, royalty-free licence to host, store, copy, validate, standardize, classify, format, process, display, publish, transmit, export, back up, and otherwise use that User Content as reasonably necessary to:

This licence lasts for as long as the User Content is retained for those purposes, subject to the Privacy Policy, any specific collection notice, the applicable Client Agreement, and applicable law.

You represent that:

Do not submit confidential, sensitive, or personal information unless the relevant Platform feature specifically requests it and provides an appropriate collection notice.

Submission does not guarantee publication, approval, inclusion, continued availability, or any particular outcome. CityViz or the Client Organization may review, reject, correct, merge, restrict, archive, or remove User Content where reasonably necessary for data quality, security, legal compliance, or program administration.


10. Acceptable Use

You may not use the Platform to:

Reasonable indexing by public search engines and uses expressly enabled by CityViz APIs, downloads, embeds, or written permissions are not prohibited, provided they comply with applicable limits and licences.


11. Intellectual Property and Branding

The Platform software, source code, design, user interface, workflows, documentation, CityViz-created graphics, compilation and arrangement of Content, and CityViz names, logos, and branding are owned by or licensed to Ruby Industries Inc. and are protected by applicable intellectual-property laws.

Except for the limited permission expressly granted in these Terms, no right or licence is granted to use CityViz trademarks, branding, software, or proprietary material.

You may not suggest sponsorship, certification, partnership, or endorsement by CityViz or a Client Organization without prior written authorization.

If you provide suggestions or feedback about the Platform, you permit CityViz to use that feedback without restriction or compensation, provided CityViz does not publicly identify you as its source without permission.


The Platform may link to, embed, display information from, or interoperate with third-party websites, mapping services, analytics services, listing providers, data sources, or other platforms.

Third-party services are controlled by their respective providers and may be governed by separate terms, licences, fees, availability commitments, and privacy policies. CityViz does not control and is not responsible for unaffiliated third-party services, their content, or their continued availability.

A link or integration does not necessarily imply endorsement. You use third-party services at your own discretion and should review their applicable terms.


13. Privacy and Electronic Communications

The Privacy Policy forms part of these Terms and explains CityViz’s handling of personal information. A Client Organization may provide additional notices that apply to its instance or program.

When you request a report, subscribe to data-update notifications, submit a form, or use an account, CityViz or the Client Organization may send service, security, confirmation, delivery, moderation, or other communications needed to complete your request or administer the relevant feature.

Optional promotional or commercial electronic messages will be sent only where permitted by applicable law. You may unsubscribe from optional communications using the method provided in the message. You may still receive transactional or service communications that are necessary to provide a requested service or maintain an account.


14. Availability, Changes, and Suspension

CityViz may maintain, update, improve, replace, suspend, or discontinue all or part of the Platform. Features, Content, integrations, and third-party data may change or become unavailable.

CityViz does not promise uninterrupted availability under these User Terms. Any service levels, support commitments, maintenance obligations, data-export rights, or continuity requirements owed to a Client Organization are governed by the applicable Client Agreement. Unless expressly provided by law or a separate written agreement with the User, individual Users may not enforce those Client Organization commitments.

CityViz may suspend or restrict your access where reasonably necessary to:

Where appropriate and reasonably practicable, CityViz will provide notice and an opportunity to remedy the issue.


15. Reporting Errors, Rights Concerns, or Misuse

CityViz aims to present reliable and current information, but errors, omissions, delays, and inconsistencies may occur.

Data-quality concerns may be reported to data.quality@cityviz.ca. Please identify the relevant page, dataset, location, date, and suspected issue.

To report suspected copyright infringement, privacy concerns, security issues, unlawful content, or misuse, use the contact information displayed on the Platform or contact the applicable Client Organization. Privacy requests may be sent to privacy@cityviz.ca.

CityViz may request sufficient information to investigate and may refer a matter to the relevant Client Organization or Content Source.


16. Disclaimers

To the maximum extent permitted by applicable law, the Platform, Content, Generated Outputs, and related services are provided “as is” and “as available.”

CityViz does not warrant that:

To the maximum extent permitted by law, CityViz disclaims implied warranties and conditions, including merchantability, fitness for a particular purpose, title, non-infringement, and quality. These disclaimers do not exclude warranties, conditions, rights, or remedies that cannot lawfully be excluded.

Content Sources, Client Organizations, and third-party providers may have their own disclaimers and limitations, which also apply where stated.


17. Limitation of Liability

To the maximum extent permitted by applicable law, CityViz and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, anticipated savings, use, or data, arising from or relating to the Platform, Content, Generated Outputs, or these Terms, even if advised that such loss was possible.

For any claim brought by you under these Terms, CityViz’s total aggregate liability arising from or relating to the Platform, Content, Generated Outputs, or these Terms will not exceed the greater of:

This User-level limitation applies regardless of whether the relevant CityViz instance is provided to a Client Organization under a Client Agreement. It does not govern claims between CityViz and the Client Organization, which are governed exclusively by the Client Agreement, and it does not give you the benefit of any liability provision, warranty, service level, indemnity, or remedy negotiated by the Client Organization.

The exclusions and cap above do not apply to liability that cannot lawfully be excluded or limited. Nothing in these Terms limits liability for fraud, wilful misconduct, or any other matter to the extent a limitation is prohibited by applicable law.


18. User Responsibility

You are responsible for your own acts and omissions in accessing and using the Platform, including your compliance with these Terms, applicable feature-specific restrictions, and applicable law.

You may be responsible under applicable law for direct losses, security incidents, infringement, unauthorized disclosure, or third-party claims caused by your intentional unlawful conduct, knowing misuse of restricted access, or knowing submission of material that you are not authorized to provide. CityViz retains all remedies available under applicable law for a breach of these Terms.

Your use of the Platform through a Client Organization does not, by itself:

Any responsibility or indemnity between CityViz and a Client Organization is governed by the applicable Client Agreement or applicable law, not by a User’s acceptance of these Terms.


19. Changes to These Terms

CityViz may update these Terms to reflect changes in the Platform, applicable laws, business practices, or risk controls.

The revised Terms will be posted with an updated date. Material changes will take effect prospectively. Where reasonably practicable or required by law, CityViz will provide additional notice of a material change through the Platform, by email, or through the applicable Client Organization.

Your continued use of the Platform after revised Terms take effect constitutes acceptance of the revised Terms. If you do not agree to a material change, you must stop using the Platform. Changes to a Client Organization’s contractual rights and obligations require the process specified in the applicable Client Agreement.


20. Governing Law and Disputes

Except where mandatory law requires otherwise, these Terms and disputes arising from them are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws rules.

Subject to any mandatory consumer, privacy, administrative, or public-sector jurisdiction, the courts located in Calgary, Alberta will have jurisdiction over disputes arising from these Terms.

Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief in a court of competent jurisdiction. Nothing in these Terms removes rights or remedies that cannot lawfully be waived, including applicable consumer-protection rights.

Disputes between CityViz and a Client Organization under a Client Agreement are governed by that agreement.


21. General Provisions

Entire agreement for User access. These Terms, the Privacy Policy, and any applicable feature-specific terms form the agreement between you and CityViz regarding your individual access to and use of the Platform. They do not amend a Client Agreement, change ownership of Client Organization data, alter CityViz’s service commitments to a Client Organization, authorize you to act for a Client Organization, or give you rights as a third-party beneficiary of a Client Agreement.

Severability. If a provision is found invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.

No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not assign your rights or obligations under these Terms without CityViz’s prior written consent. CityViz may assign these Terms as part of a merger, reorganization, sale of business or assets, or transfer of the Platform, subject to applicable law and privacy obligations.

No agency or organizational authority. These Terms do not create a partnership, joint venture, employment, fiduciary, or agency relationship between you and CityViz. They also do not give you authority to bind a Client Organization, CityViz, or any Content Source.

Headings. Headings are for convenience and do not affect interpretation.
